Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") are an agreement between Dekho LLC, a California limited liability company ("Dekho", "we", "us") and the organization that subscribes to the Services ("Customer", "you"), and they also apply to each person who uses the Services on Customer's behalf. By creating an account, signing an order form, or using the Services, you agree to these Terms. If you accept on behalf of an organization, you confirm you have authority to bind it. You must be at least 18 years old to use the Services.

If you and Dekho have signed an order form or other written agreement for the Services, that agreement controls over these Terms where they conflict. A BAA between you and Dekho controls over both on any matter concerning PHI.

2. The Services

The Services include Dekho Cloud eFax, the Dekho Cloud Dialer, Dekho Cloud Healthcare and the Dekho account and billing console, and any features we make available with them. Which products and features you can use depends on your plan and, for clinical features, on the Healthcare module (Section 5). We may change, add or remove features over time. We will give you reasonable notice before removing a feature that is material to your plan.

3. Accounts and security

  • Your administrators control who in your organization has access and what role each user has. You are responsible for all activity under your accounts.
  • Give us accurate account information and keep it current, including a billing contact.
  • Keep sign-in credentials confidential, and tell us promptly at legal@dekho.cloud if you suspect unauthorized access. We strongly recommend passkeys or two-factor authentication for every user.
  • You agree to receive notices from us electronically, by email or within the Services.

4. Fees, trials and billing

  • You agree to pay the fees for your plan and any usage beyond its included allowances (for example, fax pages, call minutes and AI usage), as shown on your order form or our published pricing.
  • Some plans include a free trial; its length and terms are stated on your order form.
  • Plans are billed monthly in advance unless your order form says otherwise. We will notify you when you first exceed an included allowance in a month.
  • Payment terms are as stated on your invoice or order form. If an invoice is overdue, we will notify your billing contact, and if it remains unpaid 14 days after that notice, we may suspend or end your subscription.
  • Fees exclude taxes, which you are responsible for, other than taxes on our income.
  • Refunds and cancellation: Fees are non-refundable. You can cancel at any time; service continues until the end of the billing period you have paid for, and any usage beyond your plan's included allowances is billed.
  • We may change prices for future billing periods with at least 30 days' notice. Price changes do not apply to a committed term already in effect under an order form.

5. Healthcare use, PHI and the BAA

  • Clinical features, including recording, transcription and AI First Look on calls, AI First Look on faxes, patient charts, encounter recording and the Healthcare assistant, are turned on only when your organization has the Healthcare module and a signed BAA with Dekho on file.
  • Healthcare organizations must sign a BAA with Dekho before using the Services. You may not put PHI into the Services unless a BAA between you and Dekho is in effect.
  • You are responsible for your own obligations under HIPAA and other laws that apply to you, including patient notices and consents, and any consent required to record or transcribe a call under the laws of the places where the call's participants are located.
  • Dekho is built for HIPAA and our SOC 2 program is in progress. Using the Services does not by itself make you compliant with any law.

6. AI features

AI features produce output automatically from your content. That output may be incomplete, inaccurate or inappropriate for your situation. It is not medical, legal or billing advice, and it is not a substitute for the judgment of a qualified professional. You are responsible for reviewing AI output before relying on it, including every clinical note, diagnosis code and summary. AI-drafted clinical notes must be reviewed and signed by a clinician before they are filed to a chart.

7. Your content

  • As between you and Dekho, you own the content you and your users put into the Services and the output generated from it ("Customer Content").
  • You grant Dekho a limited license to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Services, and as your BAA and these Terms permit.
  • You confirm that you have the rights and consents needed to put Customer Content into the Services and to let us process it.
  • Deletion and retention of Customer Content work as described in our Privacy Policy and in the Services' Archive and Shred controls. You are responsible for exporting any content you need before your subscription ends.

8. Acceptable use

You will not, and will not let anyone else:

  • use the Services for anything unlawful, including sending unsolicited faxes or making calls in violation of telemarketing, robocall, caller-ID or fax-advertising laws;
  • record or transcribe a call without the consents the law requires;
  • access or attempt to access another customer's data, or probe, scan or test the Services' security without our written permission;
  • interfere with or overload the Services, or get around usage limits or access controls;
  • copy, modify, reverse engineer or resell the Services, except as the law expressly allows;
  • use the Services to build a competing product; or
  • upload malware or content that infringes someone else's rights.

We may suspend access that violates this section or threatens the security of the Services or other customers, and we will tell you promptly when we do.

9. Phone and fax numbers

Numbers we assign to you, or that you bring to us, are provided through our telecommunications carrier and are subject to its rules and to telecommunications law. When your subscription ends, we hold your numbers for 30 days, and you may port them to another provider during that time. After that they may be released. The Services do not support emergency calls. Do not use them to call 911 or other emergency services.

10. Dekho's intellectual property

Dekho owns the Services, the software, the Site and all related intellectual property, other than Customer Content. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription, for your internal business purposes, under these Terms. Dekho, Dekho Cloud, AI First Look and the Dekho logo are trademarks of Dekho LLC. If you send us feedback, we may use it without obligation to you.

12. Term, suspension and termination

  • These Terms apply while you have an account or use the Services.
  • You can cancel at any time; service continues until the end of the billing period you have paid for, and any usage beyond your plan's included allowances is billed.
  • We may suspend or end your access if you materially breach these Terms and do not cure the breach within 30 days of notice, if fees remain unpaid as described in Section 4, or immediately where required to prevent harm or comply with law.
  • When the subscription ends, your right to use the Services ends. Sections that by their nature should survive (including fees owed, Customer Content, disclaimers, limitation of liability, indemnity and governing law) survive.

13. Disclaimers

Except as expressly stated in these Terms or a signed agreement, the Services are provided "as is" and "as available". To the fullest extent the law allows, Dekho disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, that every fax or call will be delivered, or that AI output will be accurate. The Services are not intended for emergency communication.

14. Limitation of liability

To the fullest extent the law allows, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility. Each party's total liability arising out of these Terms will not exceed the fees Customer paid Dekho in the 12 months before the event giving rise to the claim. These limits do not apply to a party's indemnity obligations, Customer's payment obligations, or liability that cannot be limited by law. Liability for breaches involving PHI is governed by the BAA.

15. Indemnity

You will defend and indemnify Dekho against third-party claims arising from Customer Content or from your use of the Services in violation of these Terms or the law. Dekho will defend and indemnify you against third-party claims that the Services, as we provide them, infringe that party's intellectual property rights. The indemnified party must give prompt notice, reasonable cooperation, and control of the defense to the indemnifying party.

16. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts located in Santa Clara County, California, and each party consents to their jurisdiction.

17. General

  • Changes to these Terms. We may update these Terms. We will notify account administrators of material changes at least 30 days before they take effect. Continued use after that date means you accept the updated Terms.
  • Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all its assets.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including failures of carriers, networks or cloud providers.
  • Severability. If any provision is found unenforceable, the rest remains in effect.
  • No waiver. A failure to enforce a provision is not a waiver of it.
  • Entire agreement. These Terms, any order form, the BAA and the Privacy Policy are the entire agreement between the parties about the Services.
